What you express is exactly what we have in mind&amp;#8212;ultimately you&amp;#8217;ll find a catalogue of all this useful information and commentunder the tabs Read:Questions and Found:Answers. Evenutally, you should be able to search through these catalogues in different ways to find what you need by subject. There is often a &amp;#8216;when and if&amp;#8217; clause declared by the board in preferred stock terms, but I&amp;#8217;ve rarely seen the board actually declare a dividend.&amp;#8221;&lt;/p&gt;</description>

      <description>&lt;p&gt;Hi Seth, thanks for your comment. I don&amp;#8217;t think Spitzer was trying to encourage bad behavior, or secrecy. I suspect he was playing Devil&amp;#8217;s Advocate (in a way that only the most provacative lawyers can) to prove a point. He&amp;#8217;s really saying you *should not* try to cover your tracks, such as email your staff to shred documents, or email your staff to backdate stock options.
